PP FOUNDATION DONATION TERMS AND CONDITIONS + PRIVACY NOTICE Version 1.0 — Approved and in force 10 July 2026 Governing language: English. Any Spanish translation is provided for convenience; the English text controls. PART I — DONATION TERMS AND CONDITIONS 1. ACCEPTANCE OF THESE TERMS 1.1 These Donation Terms and Conditions ("Terms") govern any contribution made to PP Foundation ("PP Foundation," "we," "us," "our") through our website, our hosted donation pages, or any payment link we publish. 1.2 By clicking "Donate," submitting a contribution, or checking the box indicating acceptance of these Terms, you acknowledge that you have read, understood, and agree to be bound by them, and by the Privacy Notice set out in Part II below. 1.3 You represent that you are at least 18 years of age, that you have the legal capacity to enter into a binding agreement, and that you are using a payment method you are authorized to use. 1.4 If you do not agree with these Terms, do not complete a donation. 2. IDENTITY AND TAX STATUS OF THE ORGANIZATION 2.1 Legal name: PP Foundation 2.2 Legal form: Nonprofit corporation organized under the laws of the State of Florida, United States of America 2.3 Date of incorporation: 2 May 2025 2.4 Florida registration: N25000005628 (Division of Corporations, Sunbiz) 2.5 Registered address: 2165 Van Buren St, Suite 911, Hollywood, FL 33020, United States 2.6 Employer Identification Number (EIN): 39-2101517 2.7 Federal tax status: Recognized by the Internal Revenue Service as exempt from federal income tax under Section 501(c)(3) of the Internal Revenue Code, and classified as a public charity under Section 170(b)(1)(A)(vi). Program execution on the ground is carried out by an affiliated implementing entity. PP Foundation retains full control and discretion over the use of all funds it receives, consistent with the requirements applicable to U.S. public charities making grants to foreign organizations. 3. NATURE OF YOUR CONTRIBUTION; TAX DEDUCTIBILITY 3.1 A contribution to PP Foundation is a voluntary, unconditional, and irrevocable gift. It is not a purchase, a payment for goods or services, a membership fee, a ticket, an investment, or a loan. 3.2 You receive no goods or services in exchange for your contribution. 3.3 Contributions to PP Foundation are tax-deductible to the fullest extent permitted by law. The actual deductible amount depends on your individual tax circumstances, including whether you itemize deductions. PP Foundation does not provide tax advice. Consult your own tax advisor. 3.4 WRITTEN ACKNOWLEDGMENT. For each contribution, you will receive an electronic receipt at the email address you provide. For any single contribution of USD 250 or more, that receipt constitutes the contemporaneous written acknowledgment required by Internal Revenue Code Section 170(f)(8) and will state: "PP Foundation is a tax-exempt organization under Section 501(c)(3) of the Internal Revenue Code. EIN 39-2101517. No goods or services were provided in exchange for this contribution. Please retain this receipt for your tax records." Retain the receipt. PP Foundation cannot reissue acknowledgments with retroactive effect once the applicable filing deadline has passed. 3.5 GROSS AMOUNT. Your acknowledgment reflects the gross amount you contributed, not the amount net of payment-processing fees. Processing fees are recorded separately by PP Foundation as an expense. If you elect to cover the processing fee, that additional amount is also deductible. 3.6 Contributions from donors outside the United States may not be deductible under the tax law of the donor's country of residence. PP Foundation makes no representation regarding deductibility outside the United States. 3.7 WHAT THE RECEIPT COVERS. PP Foundation's receipts and acknowledgments state only the amount contributed to PP Foundation. They do not include, and are not affected by, any other charge that appears on your payment statement, including tips to a fundraising platform, platform service charges, payment-processing fees retained by the processor, currency conversion charges, or fees applied by your own card issuer or bank. Where a fundraising platform invites you, at checkout, to add an optional tip to that platform, the tip is a payment to the platform. PP Foundation does not receive it. It is not a charitable contribution and does not form part of the deductible amount stated on your acknowledgment. You may set any such tip to zero without affecting your contribution. 3.8 FEE COVERAGE. Where a platform offers you the option to cover the payment-processing fee on your own contribution, any amount you add for that purpose is a contribution to PP Foundation and is deductible. It is distinct from a platform tip under Section 3.7. 4. HOW CONTRIBUTIONS ARE USED 4.1 GENERAL SUPPORT. Unless a donation page expressly states otherwise, all contributions to PP Foundation are unrestricted general support. They are applied, at the discretion of the Board of Directors, to PP Foundation's charitable purposes: the delivery of health services to the populations it serves, and everything required to deliver them. 4.2 WHAT THIS INCLUDES. PP Foundation's charitable purposes include, without limitation: locating people whose treatment has been interrupted and rebuilding the medical records required to resume it; accompanying and transporting people who cannot otherwise reach existing treatment; physical rehabilitation and psychological care; HIV and syphilis screening; the deployment, transport, subsistence, identification, and recognition of the health personnel who deliver these services; the repair, recovery, and operation of a confidential clinical facility; the data systems, monitoring, reporting, and financial controls that make every contribution traceable; and the institutional operating continuity without which none of the above is delivered. 4.3 NAMED CAMPAIGNS. Where a donation page names a specific purpose, PP Foundation will apply contributions received through that page to that purpose. If the amount raised exceeds the need for that purpose, or if the purpose becomes impracticable, impossible, or no longer consistent with PP Foundation's charitable mission, the Board of Directors may apply the remainder to other programs serving the same population and advancing the same general charitable purpose. BY MAKING A CONTRIBUTION THROUGH A NAMED CAMPAIGN, YOU ACKNOWLEDGE AND CONSENT TO THIS CLAUSE. 4.4 NO EARMARKING FOR INDIVIDUALS. PP Foundation cannot accept contributions earmarked for the benefit of a named individual, family, household, or specific beneficiary. Such contributions are not deductible and will be declined or refunded. 4.5 BOARD CONTROL. PP Foundation retains exclusive legal control and discretion over all contributed assets, as required to maintain its exempt status. No contribution creates any right of direction, oversight, or approval on the part of the donor. 5. REFUND POLICY 5.1 PP Foundation considers all contributions to be irrevocable and non-refundable. Contributions are placed into service promptly in support of programs. 5.2 Notwithstanding Section 5.1, PP Foundation will consider a refund request in the following circumstances: (a) The contribution was made using a lost, stolen, or otherwise unauthorized payment instrument; (b) The contribution was intended for a different organization; (c) An incorrect amount was entered, or a duplicate contribution was submitted in error; (d) A recurring contribution was created when a one-time contribution was intended; (e) PP Foundation is unable to honor a purpose named on the donation page and the donor does not consent to the application of Section 4.3. 5.3 TIME LIMIT. A refund request must be submitted within thirty (30) calendar days of the transaction date. Requests received after that period will not be processed, except in cases of fraudulent or unauthorized transactions, which are not subject to this time limit. 5.3.1 PROCESSING. PP Foundation will acknowledge a refund request within two (2) business days of receipt and will process an approved refund promptly thereafter. The time the refund takes to appear on your statement is determined by your card issuer or bank, not by PP Foundation. 5.4 PROCEDURE. Submit refund requests to Gestion.FoundationPP@gmail.com, including the donor name, the contribution date, the amount, and the reason for the request. PP Foundation may require proof of identity and supporting documentation before issuing a refund. 5.5 METHOD. Refunds are issued to the original method of payment. Refunds cannot be issued to a different instrument or a different person. 5.6 TAX CONSEQUENCES. You are solely responsible for any tax consequences arising from a refunded contribution, including any correction to a previously claimed deduction. Where required, PP Foundation will report a refund to the Internal Revenue Service. 5.6.1 SCOPE OF A REFUND. A refund returns the amount you contributed to PP Foundation. It does not return any tip you elected to pay to a fundraising platform, nor any fee retained by a payment processor or by your own bank. Requests concerning those amounts must be directed to the platform or institution that received them. 5.7 CHARGEBACKS. If you initiate a chargeback with your card issuer without first contacting PP Foundation, PP Foundation reserves the right to contest it and to decline future contributions from that payment instrument. 6. RECURRING CONTRIBUTIONS 6.1 If you elect a recurring contribution, you authorize PP Foundation to charge your selected payment method the stated amount, at the stated frequency, on a recurring basis, until you cancel. 6.2 Before you authorize a recurring contribution, PP Foundation discloses: the amount of each charge; the frequency of the charges; that the charges will continue until you cancel; and how to cancel. 6.3 Your consent to a recurring contribution is given by affirmative action (selecting the recurring option and submitting the donation form). It is not inferred from inaction. 6.4 CANCELLATION. You may cancel a recurring contribution at any time, without charge, penalty, or explanation, by emailing Gestion.FoundationPP@gmail.com with the word CANCEL in the subject line. Cancellation takes effect immediately upon our receipt of your request. PP Foundation will process the cancellation within two (2) business days and will confirm it to you in writing. If a scheduled charge is processed after we receive your cancellation request but before we have processed it, PP Foundation will refund that charge in full, without requiring you to invoke Section 5. 6.5 Cancelling a recurring contribution requires no more steps than creating one. PP Foundation will not require a telephone call, a retention conversation, or any additional form. 7. PAYMENT PROCESSING AND CARD DATA 7.1 Contributions are processed by third-party payment processors and fundraising platforms engaged by PP Foundation. PP Foundation does not receive, transmit, process, or store your full payment card number, card verification value, or bank account credentials at any time. 7.2 Payment data is entered directly into a payment form hosted by the processor or platform, and is handled in accordance with that provider's own terms of service and privacy policy. Those terms are presented to you at the point of payment and govern the provider's own handling of your data. PP Foundation is not a party to them. 7.3 PP Foundation receives from each processor only the transaction data described in Section 16 of the Privacy Notice. 7.4 PAYMENT METHODS. PP Foundation may accept, through one or more platforms, credit and debit cards, bank debit (ACH), digital wallets, peer-to-peer payment services, donor-advised fund disbursements, and other digital payment methods. The methods available to you depend on the channel through which you give. The availability of any method may change without notice. 7.5 CURRENCY. Contributions are denominated and processed in United States dollars (USD). If your payment instrument is denominated in another currency, your issuer may apply a conversion rate and a foreign transaction fee over which PP Foundation has no control. 7.6 MINIMUM AND MAXIMUM. Contributions are subject to a minimum of USD 5.00 per transaction. Certain channels impose a per-transaction maximum. For contributions above any stated maximum, or to arrange a transfer by another means, contact Gestion.FoundationPP@gmail.com. 7.7 PP Foundation reserves the right to decline, reverse, or refund any contribution at its sole discretion, including where a transaction is suspected to be fraudulent, unauthorized, or inconsistent with these Terms. 7.8 PLATFORM HOLDS. A payment processor or fundraising platform may, under its own risk and compliance policies, delay, hold, or reverse a payout to PP Foundation independently of PP Foundation's control. PP Foundation is not liable for such delays. 8. PROHIBITED CONTRIBUTIONS; SANCTIONS AND ANTI-MONEY-LAUNDERING 8.1 You represent and warrant that the funds you contribute are lawfully obtained and are not derived from, or intended to further, any criminal activity, money laundering, terrorist financing, or sanctions evasion. 8.2 You represent that you are not a person or entity designated on the Specially Designated Nationals and Blocked Persons List maintained by the U.S. Department of the Treasury's Office of Foreign Assets Control (OFAC), or on any comparable sanctions list, and that you are not acting on behalf of any such person or entity. 8.3 PP Foundation conducts sanctions screening consistent with applicable U.S. law and will decline or return any contribution that cannot be accepted under that law. 8.4 PP Foundation does not accept contributions for the purpose of supporting any candidate for public office, any political party, or any partisan political activity, and does not accept contributions in exchange for raffle entries, private benefit, or the payment of any donor's personal expense. 8.5 ANONYMOUS CONTRIBUTIONS. PP Foundation may decline contributions where the donor's identity cannot be established to a degree sufficient to satisfy its compliance obligations. 9. INTERNATIONAL OPERATIONS 9.1 PP Foundation is a United States organization. Its funds are held, administered, and disbursed in the United States. All financial operations — receipt of contributions, custody of funds, procurement, payroll, and payment to suppliers — are conducted from the United States, under U.S. accounting and audit standards. 9.2 PP Foundation's programs are delivered in Venezuela through an affiliated implementing arm. That implementing arm does not hold or administer donated funds. PP Foundation does not remit donated funds for administration in Venezuela. 9.3 PP Foundation's activities are humanitarian and are aligned with the objectives of the 2030 Agenda for Sustainable Development, in particular Sustainable Development Goal 3 (health and well-being) and Goal 10 (reduced inequalities). Its operations are conducted in compliance with applicable United States law, including the sanctions administered by the Office of Foreign Assets Control of the U.S. Department of the Treasury, under the general authorization available to non-governmental organizations engaged in humanitarian projects that meet basic human needs, including the provision of health services. 9.4 PP Foundation exercises exclusive discretion and control over the use of contributed funds and maintains documented agreements, expenditure reporting, and audit rights with respect to its implementing arm. 9.5 Contributions do not purchase antiretroviral medication. Medication is available in-country. Contributions fund the services, logistics, personnel, and systems required to place existing treatment within reach of people who cannot otherwise access it. 10. USE OF DONOR INFORMATION; NO SALE OF DATA 10.1 PP Foundation does not sell, rent, trade, lease, or otherwise transfer for value your personal information to any third party, for any purpose, at any time. 10.2 PP Foundation does not share donor lists with other organizations for their own solicitation purposes. 10.3 Full details of collection, use, retention, and your rights are set out in the Privacy Notice (Part II below). 11. DONOR RECOGNITION AND CONFIDENTIALITY 11.1 PP Foundation will not publish your name, photograph, or the amount of your contribution without your prior written consent. 11.2 You may request that your contribution remain anonymous in any public acknowledgment. This request does not affect PP Foundation's obligation to record your identity in its internal books and records, or to report contributions as required by law. 11.3 STATUTORY REPORTING. Federal law requires PP Foundation to report certain contributors on Schedule B of its annual Form 990 return. For a public charity meeting the support test of Section 170(b)(1)(A)(vi), this threshold is generally the greater of USD 5,000 or 2% of total contributions. The names and addresses of contributors are redacted from the copy of Form 990 made available for public inspection. 12. BENEFICIARY CONFIDENTIALITY 12.1 PP Foundation will not publish the name, likeness, diagnosis, serostatus, gender identity, or sexual orientation of any person served by its programs. 12.2 Contributions do not entitle any donor to access the personal or clinical information of any beneficiary, under any circumstance. 13. STATE CHARITABLE SOLICITATION DISCLOSURES 13.1 FLORIDA. A COPY OF THE OFFICIAL REGISTRATION AND FINANCIAL INFORMATION MAY BE OBTAINED FROM THE DIVISION OF CONSUMER SERVICES BY CALLING TOLL-FREE WITHIN THE STATE, 1-800-HELP-FLA (435-7352), OR VISITING www.FDACS.gov. REGISTRATION DOES NOT IMPLY ENDORSEMENT, APPROVAL, OR RECOMMENDATION BY THE STATE. FLORIDA REGISTRATION: PP Foundation filed its application for registration under the Solicitation of Contributions Act with the Florida Department of Agriculture and Consumer Services on 10 July 2026 (DTN 4284340), status Complete. The assigned registration number will be published here once issued by FDACS. 13.2 GENERAL DISCLOSURE. Financial information and a description of the programs and activities of PP Foundation are available at www.ppfoundationve.org, by written request to 2165 Van Buren St, Suite 911, Hollywood, FL 33020, or by email to Gestion.FoundationPP@gmail.com. PP Foundation is a 501(c)(3) tax-exempt organization. All contributions are tax-deductible to the extent allowed by law. 13.3 OTHER STATES. Charitable solicitation is regulated at the state level. PP Foundation tracks contributions by state of donor residence and will register in additional jurisdictions as and when required. Additional state-mandated disclosures will be added to this Section as registrations are obtained. 14. DISCLAIMERS AND LIMITATION OF LIABILITY 14.1 The donation page and all related content are provided "as is" and "as available." PP Foundation does not warrant that the donation page will be uninterrupted, timely, secure, or error-free. 14.2 To the maximum extent permitted by law, PP Foundation, its directors, officers, employees, and volunteers shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the donation page or the making of a contribution. 14.3 PP Foundation's aggregate liability arising out of or relating to any contribution shall not exceed the amount of that contribution. 14.4 Nothing in these Terms excludes or limits liability for fraud, willful misconduct, or any liability that cannot lawfully be excluded. 15. GENERAL PROVISIONS 15.1 GOVERNING LAW. These Terms are governed by the laws of the State of Florida, United States, without regard to conflict-of-law principles. 15.2 VENUE. Any dispute arising under these Terms shall be brought exclusively in the state or federal courts located in Broward County, Florida. 15.3 ELECTRONIC COMMUNICATIONS. You consent to receive communications from PP Foundation in electronic form, and you agree that all notices, disclosures, receipts, and acknowledgments provided electronically satisfy any legal requirement that such communications be in writing. 15.4 AMENDMENT. PP Foundation may amend these Terms at any time. The version in effect at the time of your contribution governs that contribution. The current version, and its effective date, are published at https://www.ppfoundationve.org/donar/terminos-privacidad 15.5 SEVERABILITY. If any provision of these Terms is held unenforceable, the remaining provisions remain in full force. 15.6 ENTIRE AGREEMENT. These Terms and the Privacy Notice constitute the entire agreement between you and PP Foundation with respect to your contribution. 15.7 NO WAIVER. Failure to enforce any provision does not constitute a waiver of that provision. PART II — PRIVACY NOTICE 16. INFORMATION WE COLLECT 16.1 When you make a contribution, PP Foundation collects: (a) Your full name; (b) Your email address; (c) Your billing address; (d) The amount, date, and currency of your contribution; (e) The last four digits of your payment instrument, its brand, and its country of issuance, as provided to us by the payment processor; (f) Any optional message you choose to submit; (g) The campaign or channel through which you reached the donation page. 16.2 We do NOT collect, receive, or store: - Your full payment card number; - Your card verification value (CVV/CVC); - Your bank account or routing number; - Your Social Security Number or taxpayer identification number; - Any health information about you. 16.3 We do not request a telephone number. 16.4 We do not knowingly collect information from any person under 18 years of age. If we learn that we have done so, we will delete it. 17. WHY WE COLLECT IT (LEGAL BASIS AND PURPOSE) 17.1 To process your contribution and to issue the receipt and written acknowledgment required by Internal Revenue Code Section 170(f)(8). 17.2 To comply with our legal obligations, including annual reporting on IRS Form 990 and its Schedule B, state charitable solicitation reporting, and sanctions and anti-money-laundering screening. 17.3 To maintain accurate financial records and to enable independent external audit of our accounts. 17.4 To communicate with you about your contribution, and — only if you have affirmatively opted in — to send you occasional updates about our work. 17.5 To detect, prevent, and investigate fraud, unauthorized transactions, and abuse of our donation page. 18. WHAT WE DO NOT DO 18.1 We do not sell your personal information. 18.2 We do not rent, trade, or lease your personal information. 18.3 We do not share your personal information with other organizations for their own fundraising or marketing purposes. 18.4 We do not use your personal information for automated decision-making or profiling that produces legal or similarly significant effects. 18.5 We do not use your contribution data for any purpose incompatible with the purposes stated in Section 17. 19. WHO HAS ACCESS 19.1 Internally, access to donor records is restricted to those officers and staff whose duties require it, on a least-privilege basis, subject to multi-factor authentication and documented segregation of duties between system administration, reconciliation, and authorization of disbursements. 19.2 Externally, we share personal information only: (a) With the payment processor or fundraising platform through which you gave, to the extent necessary to process the transaction; (b) With our independent external auditor and our accountants, under professional duties of confidentiality; (c) Where compelled by law, subpoena, court order, or a lawful request from a governmental authority; (d) Where required to establish, exercise, or defend a legal claim. 19.3 Each third party that processes personal information on our behalf is bound by a written agreement restricting its use of that information to the purpose for which it was disclosed. 20. SECURITY 20.1 PP Foundation maintains administrative, technical, and physical safeguards designed to protect personal information against unauthorized access, use, alteration, disclosure, and destruction. 20.2 Payment card data is handled exclusively by third-party processors certified as PCI-DSS Level 1 Service Providers. Because PP Foundation never receives card data, its own PCI obligations are limited accordingly. 20.3 No method of transmission or storage is completely secure. We cannot guarantee absolute security. 20.4 In the event of a breach of security affecting personal information, we will notify affected individuals and the relevant authorities in accordance with the Florida Information Protection Act and any other applicable law, and in accordance with our internal incident response procedures. 21. RETENTION 21.1 Donation records, including donor identity and transaction data, are retained for a minimum of seven (7) years from the close of the fiscal year in which the contribution was received, as required for tax and audit purposes. 21.2 Records subject to an active investigation, litigation, audit, or a formal request from a competent authority are placed under legal hold and are not deleted until the hold is lifted. 21.3 At the end of the applicable retention period, records are securely destroyed by means that prevent recovery. 22. YOUR RIGHTS 22.1 Subject to applicable law and to our record-retention obligations, you may: (a) Request access to the personal information we hold about you; (b) Request correction of inaccurate information; (c) Request deletion of your information, except where retention is required by law; (d) Withdraw consent to receive communications from us at any time; (e) Object to processing where a right of objection exists. 22.2 To exercise any of these rights, contact Gestion.FoundationPP@gmail.com. We will respond within thirty (30) days. 22.3 We will not discriminate against you for exercising any of these rights. 22.4 UNITED STATES. PP Foundation is a 501(c)(3) organization. Most U.S. state comprehensive privacy statutes exempt organizations of this type; several — including those of Colorado, Delaware, New Jersey, and Oregon — do not provide a general nonprofit exemption, though applicability additionally depends on data-volume thresholds. PP Foundation extends the rights in Section 22.1 to all donors regardless of residence. 22.5 EUROPEAN UNION AND UNITED KINGDOM. Where the General Data Protection Regulation or the UK GDPR applies to a contribution, our legal bases for processing are the performance of a contract (issuing your receipt), compliance with a legal obligation (tax and audit reporting), and our legitimate interests (fraud prevention and financial administration). You have the right to lodge a complaint with your national supervisory authority. 23. If you contribute from outside the United States, your information will be transferred to and processed in the United States. 23.2 Donor personal information is NOT transferred to PP Foundation's implementing entity in Venezuela, and is not processed outside the United States, except as necessary for payment processing by our processors and fundraising platforms. 24. COOKIES AND TRACKING 24.1 www.ppfoundationve.org does not use advertising pixels, advertising cookies, or third-party analytics tools. Visitors and donors to the public site do not receive cookies. 24.2 The site loads typefaces from Google Fonts. This sets no cookie, but the request transmits the visitor's IP address to Google at the moment the page loads. The site also carries a Google Search Console verification tag, which confirms ownership of the domain and performs no tracking. 24.3 A single technical cookie is issued for authenticated staff sessions. It is strictly necessary, httpOnly, and is never issued to a visitor or a donor. 24.4 Hosted donation pages operated by our payment processors and fundraising platforms set cookies strictly necessary to process the transaction and to prevent fraud. Those pages are governed by the provider's own cookie policy, presented to you at the point of payment. 24.5 This Section states the configuration of the site as of the date of issue.
